Article I. Tenets Of Faith

 

WE BELIEVE IN THE FOLLOWING 16 TENETS OF FAITH:

 The Bible is our all-sufficient rule for faith and practice. This Statement of Fundamental Truths is intended simply as a basis of fellowship among us (i.e., that we all speak the same thing, 1 Corinthians 1:10; Acts 2:42). The phraseology employed in this statement is not inspired or contended for, but the truth set forth is held to be essential to a full-gospel ministry. No claim is made that it contains all biblical truth, only that it covers our need as to these fundamental doctrines.

 

1.  The Scriptures Inspired

 The Scriptures, both the Old and New Testaments, are verbally inspired of God and are the revelation of God to mankind, the infallible, authoritative rule of faith and conduct (1 Thessalonians 2:13; 2 Timothy 3:15-17; 2 Peter 1:21).

 

2.    The One True God

 The one true God has revealed himself as the eternally self-existent "I AM," the Creator of heaven and earth and the Redeemer of mankind. He has further revealed himself as embodying the principles of relationship and association as Father, Son, and Holy Ghost (Deuteronomy 6:4; Isaiah 43:10, 11; Matthew 28:19; Luke 3:22).

 

THE ADORABLE GODHEAD

 a.       Terms Defined - The terms "trinity" and "person," as related to the Godhead, while not found in the Scriptures, are words in harmony with Scripture, whereby we may convey to others our immediate understanding of the doctrine of Christ respecting the Being of God, as distinguished from "gods many and lords many." We therefore may speak with propriety of the Lord our God, who is One Lord, as a Trinity or as one Being of three persons, and still be absolutely scriptural (see, for example, Matthew.28:19; John 14:16, 17; 2 Corinthians 13:14).

 b.      Distinction and Relationship in the Godhead - Christ taught a distinction of persons in the Godhead which He expressed in specific terms of relationship, as Father, Son, and Holy Ghost, but that this distinction and relationship, as to its mode is inscrutable and incomprehensible, because unexplained (Matthew 11:25-27; 28:19; Luke 1:35; 1 Corinthians 1:24; 2 Corinthians 13:14; 1 John 1:3,4).

c.       Unity of the One Being of Father, Son, and Holy Ghost - Accordingly, there is that in the Son which constitutes Him the Son and not the Father; and there is that in the Holy Ghost which constitutes Him the Holy Ghost and not either the Father or the Son. Wherefore the Father is the Begetter; the Son is the Begotten; and the Holy Ghost is the One proceeding from the Father and the Son. Therefore, because these three persons in the Godhead are in a state of unity, there is but one Lord God Almighty and His name one (Zechariah 14:9; John 1:18; 15:26; 17:11, 21).

 

d.      Identity and Cooperation in the Godhead - The Father, the Son, and the Holy Ghost are never identical as to person; nor confused as to relation; nor divided in respect to the Godhead; nor opposed as to cooperation. The Son is in the Father and the Father is in the Son as to relationship. The Son is with the Father and the Father is with the Son, as to fellowship. The Father is not from the Son, but the Son is from the Father, as to authority. The Holy Ghost is from the Father and the Son proceeding, as to nature, relationship, cooperation and authority. Therefore, no person in the Godhead either exists or works separately or independently of the others (John 5:17-30, 32, 37; 8:17, 18).

 

e.       The Title, Lord Jesus Christ - The appellation "Lord Jesus Christ" is a proper name. It is never applied in the New Testament either to the Father or to the Holy Ghost. It therefore belongs exclusively to the Son of God (Romans 1:1-3, 7; 2 John 3).

 

f.      The Lord Jesus Christ, God with Us - The Lord Jesus Christ, as to His divine and eternal nature, is the proper and only Begotten of the Father, but as to His human nature, He is the proper Son of Man. He is, therefore, acknowledged to be both divine and human; who because He is divine and human, is "Immanuel," God with us (Matthew 1:23; 1 John 4:2, 10, 14; Revelation 1:13, 17).

 

g.       The Title, Son of God - Since the name "Immanuel" embraces both God and man, in the one Person, our Lord Jesus Christ, it follows that the title "Son of God" describes His proper deity, and the title "Son of Man," His proper humanity. Therefore, the title "Son of God" belongs to the order of eternity, and the title "Son of Man" belongs to the order of time (Matthew 1:21-23; Hebrews 1:1-13; 7:3; 1 John 3:8; 2 John 3).

 

h.        Transgression of the Doctrine of Christ - Wherefore, it is a transgression of the doctrine of Christ to say that Jesus Christ derived the title "Son of God" solely from the fact of the Incarnation, or because of His relation to the economy of redemption. Therefore, to deny that the Father is a real and eternal Father, and that the Son is a real and eternal Son, is a denial of the distinction and relationship in the Being of God; a denial of the Father and the Son; and a displacement of the truth that Jesus Christ is come in the flesh (John 1:1,2, 14, 18, 29, 49; Hebrews 12:2; 1 John 2:22,23; 4:1-5; 2 John 9).

i.       Exaltation of Jesus Christ as Lord - The Son of God, our Lord Jesus Christ, having by himself purged our sins, sat down on the right hand of the Majesty on high, angels and principalities and powers having been made subject unto Him. And having been made both Lord and Christ, He sent the Holy Ghost that we, in the name of Jesus, might bow our knees and confess that Jesus Christ is Lord to the glory of God the Father until the end, when the Son shall become subject to the Father that God may be all in all (Acts 2:32-36; Romans 14:11; 1 Corinthians 15:24-28; Hebrews 1:3; 1Peter 3:22).

j.     Equal Honor to the Father and to the Son - Wherefore, since the Father has delivered all judgment unto the Son, it is not only the express duty of all in heaven and on earth to bow the knee, but it is an unspeakable joy in the Holy Ghost to ascribe unto the Son all the attributes of deity, and to give Him all the honor and the glory contained in all the names and titles of the Godhead except those which express relationship (see paragraphs [2], [3], and [4], and thus honor the Son even as we honor the Father (John 5:22, 23; Philippians 2:8,9; 1 Peter 1:8; Revelation 4:8-11; 5:6-14; 7:9, 10).

3.    The Deity of the Lord Jesus Christ

 The Lord Jesus Christ is the eternal Son of God. The Scriptures declare:

 a.      His virgin birth (Matthew 1:23; Luke 1:31, 35)

b.      His sinless life (Hebrews 7:26; 1 Peter 2:22)

c.      His miracles (Acts 2:22; 10:38).

d.      His substitutionary work on the Cross (1Corinthians 15:3; 2Corinthians 5:21). e. His bodily resurrection from the dead (Matthew 28:6; Luke 24:39; 1Corinthians 15:4). f. His exaltation to the right hand of God (Acts 1:9, 11; 2:33; Philippians 2:9-11; Hebrews 1:3)

 

4.    The Fall of Mankind

 The human race was created good and upright, for God said, "Let us make man in our image, after our likeness." However, man by voluntary transgression fell and thereby incurred not only physical death but also spiritual death, which is separation from God (Genesis 1:26, 27; 2:17; 3:6; Romans 5:12-19).

5.  The Salvation of Mankind

 Mankind's only hope of redemption is through the shed blood of Jesus Christ the Son of God.

 

a.      Conditions To Salvation - Salvation is received through repentance toward God and faith toward the Lord Jesus Christ. By the washing of regeneration and renewing of the Holy Ghost, being justified by grace through faith, a person becomes an heir of God according the hope of eternal life (Luke 24:47; John 3:3; Romans 10:13-15; Ephesians 2:8; Titus 2:11; 3:5-7).

 

b.      The Evidences of Salvation - The inward evidence of salvation is the direct witness of the Spirit (Romans 8:16). The outward evidence to all people is a life of righteousness and true holiness (Ephesians 4:24; Titus 2:12).

6.  The Ordinances of the Church

 a.      Baptism In Water - The ordinance of baptism by immersion is commanded in the Scriptures.All who repent and believe on Christ as Saviorand Lord are to be baptized. Thus,theydeclaretotheworldthattheyhavediedwithChristandthattheyalsohavebeen raisedwithHimtowalk innewness oflife(Matthew 28:19; Mark 16:16;Acts10:47, 48: Romans 6:4).

b.      Holy Communion - The Lord's Supper, consisting of the elements--bread and the fruit of the vine--is the symbol expressing our sharing the divine nature of our Lord Jesus Christ (2 Peter 1:4); a memorial of His suffering and death (1Corinthians 11:26); and a prophecy of His second coming (1 Corinthians 11:26); and is enjoined on all believers "till He come."

7.      The Baptism in the Holy Ghost

 All believers are entitled to and should ardently expect and earnestly seek the promise of the Father, the baptism in the Holy Ghost and fire, according to the command of our Lord Jesus Christ. This was the normal experience of all in the early Christian church. With it comes the enduement of power for life and service, the bestowment of the gifts and their uses in the work of the ministry (Luke 24:49; Acts 1:4, 8; 1 Corinthians 12:1-31). This experience is distinct from and subsequent to the experience of the new birth (Acts 8:12-17; 10:44-46; 11:14-16; 15:7-9). With the baptism in the Holy Ghost come such experiences as an overflowing fullness of the Spirit (John 7:37-39; Acts 4:8), a deepened reverence for God (Acts 2:43; Hebrews 12:28), an intensified consecration to God and dedication to His Word, and for the lost (Mark 16:20).

 

8.      The Initial Physical Evidence of the Baptism in the Holy Ghost

 The baptism of believers in the Holy Ghost is witnessed by the initial physical sign of speaking with other tongues as the Spirit of God gives them utterance (Acts 2:4). The speaking in tongues in this instance is the same in essence as the gift of tongues (1 Corinthians 12:4-10, 28), but different in purpose and use.

 

9.    Sanctification

Sanctification is an act of separation from that which is evil, and of dedication unto God (Romans12:1, 2; Hebrews 13:12; 1 Thessalonians 5:23), Scriptures teach a life of "holiness with-outwhichno man shall see the Lord" (Hebrews12:14).By the powerof the Holy Ghost, we are able toobey the command: "Beyeholy, forI amholy" (1Peter 1:15, 16).Sanctification is realized in thebeliever by recognizing his identification with Christ in His death and resurrection,and by faithreckoning daily upon the fact of that union, and by offering every faculty continually to thedominion of the Holy Spirit (Romans 6:1-11,13; 8:1, 2,13; Galatians 2:20; Philippians 2:12, 13; 1 Peter 1:5).

10.   The Church and Its Mission

 The Church is the body of Christ, the habitation of God through the Spirit, with divine appointments for the fulfillment of her Great Commission. Each believer, born of the Spirit, is an integral part of the general assembly and church of the firstborn, which are written in heaven (Ephesians 1:22, 23; 2:22; Hebrews 12:23). Since God's purpose concerning humanity is to seek and to save that which is lost, to be worshipped by people, and to build a body of believers in the image of His Son, the priority reason-for-being of the Assemblies of God as part of the Church is:

 

a.       To be an agency of God for evangelizing the world (Matthew 28:19, 20; Mark 16:15, 16; Acts 1:8).

 

b.      To be a corporate body in which people may worship God (1 Corinthians 12:13). c. To be a channel of God's purpose to build a body of saints being perfected in the image of His Son (1 Corinthians 12:28; 14:12; Ephesians4:11-16).

 

The Assemblies of God exists expressly to give continuing emphasis to this reason-for-being in the New Testament apostolic pattern by teaching and encouraging believers to be baptized in the Holy Spirit. This experience:

 

a.      Enables them to evangelize in the power of the Spirit with accompanying supernatural signs (Mark 16:15-20; Acts 4:29-31; Hebrews 2:3, 4).

 

b.      Adds a necessary dimension to a worshipful relationship with God (1 Corinthians 2:10- 16; 12 through 14).

 

c.      Enables them to respond to the full working of the Holy Spirit in expression of fruit and gifts and ministries as in New Testament times for the edifying of the body of Christ (1 Corinthians 12:28; 14:12; Galatians 5:22-26, Ephesians 4:11,12; Colossians 1:29).

11.   The Ministry

 A divinely called and scripturally ordained ministry has been provided by our Lord for the threefold purpose of leading the Church in: (1) evangelization of the world (Mark 16:15-20), (2) worship of God (John 4:23, 24), and (3) building a body of saints being perfected in the image of His Son (Ephesians 4:11, 16).

 

12.   Divine Healing

 Divine healing is an integral part of the gospel. Deliverance from sickness is provided for in the Atonement, and is the privilege of all believers (Isaiah 53:4, 5; Matthew 8:16, 17; James 5:14-16).

13.  The Blessed Hope

 The resurrection of those who have fallen asleep in Christ and their translation together with those who are alive and remain unto the coming of the Lord is the imminent and blessed hope of the Church (Romans 8:23; 1 Corinthians 15:51, 52; 1 Thessalonians 4:16, 17; Titus 2:13).

 

14.  The Millennial Reign of Christ

 The second coming of Christ includes the rapture of the saints, which is our blessed hope, followed by the visible return of Christ with His saints to reign on the earth for one thousand years (Zechariah 14:5; Matthew 24:27, 30; Revelation 1:7; 19:11-14; 20:1-6). This millennial reign will bring the salvation of national Israel (Ezekiel 37:21, 22; Zephaniah 3:19, 20; Romans 11:26, 27) and the establishment of universal peace (Psalm 72:3-8; Isaiah 11:6-9; Micah 4:3,4).

 

15.  The Final Judgment

There will be a final judgment in which the wicked dead will be raised and judged according to their works. Whosoever is not found written in the Book of Life, together with the devil and his angels, the beast, and the false prophet, will be consigned to everlasting punishment in the lake which burns with fire and brimstone, which is the second death (Matthew 25:46; Mark 9:43-48; Revelation 19:20; 20:11-15; 21:8).

 

16.  The New Heavens and the New Earth

 “We, according to His promise, look for new heavens and a new earth, wherein dwelleth righteousness” (2 Peter 3:13; see also Revelation 21 and 22).

Article II. Beliefs and Positions on Issues

 Beliefs and Positions on Issues We adhere to the Assemblies of God interpretation of the Holy Bible, and the beliefs and positions of the Assemblies of God cooperative fellowship found on AG.org/Beliefs/Position-Papers. This includes enhancements to the position papers and statements. The following are further explanations of biblical teachings and applications that we affirm:

 

1.      Marriage Definition and Standards

 a.        Marriage Defined - Marriage is divinely instituted by God and therefore, we maintain the standards for marriage established in the Bible as being exclusively reserved for the union between one 'man' and one 'woman' in accordance with their genders as biologically assigned by God at birth (Mark 10:6- 8). We believe this to be God's vision for the family which provides a child with the effective presence of both a father and a mother in his or her upbringing. The family provides the security, the heritage, and the perpetuation of morality without which no society can survive (Genesis 4:1-2; Ephesians 6:1-4).

 

b.                  Marital Standards - We believe God created marriage (Gen. 2:22). It is a covenant before God made between a man and a woman, in accordance with the gender assigned to them respectively at birth, that makes them one (Gen 2:24). The marriage covenant requires the married parties to be faithful, loving, and helpful to each other as long as they both shall live (Mark 10:3-10). Christians are not to marry unbelievers (2 Cor. 6:14-18). Those whom God has directed to be joined together shall, after counseling with the Lead Pastor, or with his/her designee concerning what God requires of them, be joined in Christian marriage (Malachi 2:13-16; Matthew 5:32; 19:5-6,9; Romans 7:2-3; I Corinthians 7:10-11, 15; II Corinthians 6:14; Ephesians 5:22-23). Notwithstanding the aforementioned, CAG shall recognize as legitimate any marriage between one biological male and one biological female, as their genders were assigned to them by God at birth, that was established prior to their conversion to Jesus Christ (Christianity).

 

2. Sanctity of Life

 We believe that all human life is sacred and created by God in His image (Gen. 1:27). Human life is of inestimable worth in all its dimensions, including pre-born babies, the aged, the physically or mentally challenged, and every other stage or condition from conception through natural death (Ps. 139:13-16). We are therefore called to defend, protect, and value all human life (1 Cor. 3:16-17). As the human body is the temple of the Holy Spirit and is not our own personal possession (1 Cor. 6:19).

Danger to the life of the mother. In the modern era, situations in which pregnancy seriously and imminently threatens the life of the mother are exceedingly rare. If, however, responsible diagnoses confirm that childbirth is likely to result in the death of the mother, historic Christian faith usually has favored the life of the mother above that of the unborn child. Unlike the unborn child, the mother is a mature person with established family and societal relationships and responsibilities.

However, vague threats to the mother’s physical or emotional health must not become an excuse to place the child at risk. Any intervention required must have the intent of saving the mother’s life, not the prior intent of causing death to the child. As in any emergency, in such times God’s children ought to fervently and earnestly pray for divine intervention. In doing so, the persons involved must prayerfully evaluate the medical diagnoses with  the assistance of humane physicians and godly leaders and make, responsibly and with a clear conscience, what will be a very painful decision.

Use of any matter extracted from aborted fetuses in the medical development of any substance may disallow its use by members of this assembly under this Section of our Constitution and Bylaws. (See Sanctity of Human Life; Abortion & Reproductive Issues @ ag.org.

3. Gender Identity

 

a.                              Gender Defined - God created human beings in His image, "... male and female He created them." (Gen. 1:27; 5:2) As God's creation, the body and its corresponding sexual identity is biologically determined by God before a child's birth. Consequently, CAG recognizes the existence of only two genders and regards any form of alteration of one's body to redefine one's gender or sexual identity, or to otherwise present as a member of an opposite gender to the one assigned biologically by God at birth, including through transvestitism, as sinful. Whenever the terms "man" or "woman" are used in this document, the terms shall mean the respective genders biologically assigned to the individuals by God in their mother's wombs as physically witnessed at their respective moments of birth.

 

b.                             Gender as Affecting Bathroom Facilities Use and Use of Pronouns - Consequently, gender specific bathroom facilities at any property owned or rented by CAG shall be used based on the aforementioned gender identifying criteria. Additionally, all members of CAG shall use identifying pronouns consistent with an individual's gender as biologically assigned to them by God at birth.

 

4. Homosexuality and Biblical Definition of Marriage

 God instituted and ordained marriage and defines marriage as the biblical union between one man and one woman in a covenantal commitment for a lifetime (Gen. 2:18,19-25; Matt. 19:4-6). This shall be known at CAG as the "Biblical Definition of Marriage." As such, sexual intimacy is properly exercised only within the boundaries of Christian marriage (1 Cor. 6:18-20). As a natural consequence of this deeply held belief, mentally entertaining (Matt. 5:28) or otherwise submitting to homosexual proclivity is sin.

 

5. Application of Bible to Sanctity of Life, Gender Identity, Homosexuality, and Marriage.

 The Biblical Definition of Marriage is the only definition of marriage that will be recognized or accepted by the CAG. Furthermore, the Church's doctrinal position on the Sanctity of Life, Gender Identity, Homosexuality, and the Biblical Definition of Marriage are sacrosanct. No Church member, leader, officer, employee, servant, agent or any person, corporation, organization or entity under the direction or control of this Church shall commit any act or omission, or make any decision whatsoever, that would be inconsistent with full support of this Church's adherence to the Biblical Definition of Marriage and its doctrinal position on the Sanctity of Life, Gender Identity and Homosexuality.

 

The Church's doctrinal position on the Sanctity of Life ,Gender Identity, Homosexuality and the Biblical Definition of Marriage specifically prohibits acts or omissions including but not limited to permitting any Church assets or property, whether real property, personal property, intangible property, or any property or asset of any kind that is subject to the direction or control of the Church, to be used in any manner that would be inconsistent with this Church's position on the Sanctity of Life, Gender Identity, Homosexuality or the Biblical Definition of Marriage, including but not limited to permitting any Church facilities or assets to be used by any person, organization, corporation, or group that would or might use such facilities or assets to convey, intentionally or by implication, what might be perceived as a favorable impression on any position that is contrary to our doctrinal position on the Sanctity of Life, gender identity, homosexuality, or marriage as conveyed by Scripture and this Constitution.

 

Notwithstanding the aforementioned, no sin is beyond the redemptive and restorative power of the gospel of Jesus Christ for those who acknowledge and repent of their sin. In all circumstances, the Church is eager to treat all individuals with respect, compassion, love, and dignity, regardless of an individual's lifestyle in the fervent hope and prayer that each individual will repent from their sin of any nature, including sins of sexual immorality, and accept Jesus Christ as their Savior, thereby establishing and/or restoring their relationship with God.

Article III. Scriptural Qualification for Church Board of Deacons and Elders

 The qualifications for Church Board and Elders are as follows (1 Tim. 3:1-3, Titus 1:5-9, 1 Pet. 5:1-4):

 

1.    Above Reproach: Not open to censure, unimpeachable integrity.

2.    Husband of One wife/wife of one husband - a person is not eligible for office if, there has been an unbiblical or unscriptural divorce since conversion.

3.    Having Believing Children - Children living at home are Christians - not incorrigible or unruly.

4.    Not Self - Willed - Not arrogantly self-satisfied.

5.    Not Quick Tempered - Not prone to anger, quick-tempered.

6.    Not Addicted to Wine - Not overly fond of wine or drunkenness, an active alcoholic whose problematic pattern of drinking leads to impairment or distress.

7.    Not Pugnacious - Not contentious or quarrelsome.

8.    Not a Money-Lover - Not greedy for money.

9.    Hospitable – Friendly and welcoming to strangers and guests, generous to guests.

10.  Lover of Good - Eager to do good to everyone and especially those who are of the household of faith (Gal. 6:10).

11.  Sensible - Self-controlled, sane, temperate.

12.  Just - Righteous, upright, aligned with right.

13.  Devout - Responsible in fulfilling oral obligations to God and man.

14.  Self-Controlled - Restrained, under control.

15.  Holding Fast the Word - Committed to God's Word as authoritative.

16.  Able to Teach Sound Doctrine - Calling others to wholeness and holy living through teaching God's Word (Titus 2:1-8).

17. Able to Refute Objections - Convicting those who contradict the truth.

18.  Temperate - Calm and collected in spirit, sober.

19.  Gentle - Fair, equitable, not insisting on his/her own rights.

20.  Able to Manage Household - A good leader in his/her own family.

21.  Not a New Convert - Not a new Christian.

22.  Well Thought of by Outsiders -A good representative of Christ among non-Christians.

23.  Willingly, Not Under Compulsion - Not serving because he/she was talked into it against his/her will.

24. According to God - (In some Greek texts) by God's appointment.

25.  Not for Shameful Gain - Not money motivated.

26.  Not Lording It Over the Flock - Not dominating in his/her area of ministry.

27.  As an Example - One who is a pleasure to follow because he/she is an example of Christ.

28.  As Accountable to the Chief Shepherd - There is a crown to be gained.

29.  Tested - Let those first be tested before serving in office.

30.  Baptized in the Holy Spirit.

31.  Members of the Church Board may be either male or female (Rom. 16:6-12, Gal. 3:28).

Article IV. Religious Employment Based on The Statement of Faith, Beliefs and Position Papers

 No one can be employed at Chestnut Assembly of God in religious positions or positions that may include ministry, who disagrees with the Holy Bible as interpreted by the Assemblies of God cooperative fellowship, 16 Tenets of Faith, Assemblies of God position papers and other statements.

 

Article V. Use of Real and Personal Property

 No real or personal property can be used in any way that violates the Holy Bible, Constitutional Declaration, 16 Tenets of Faith, Assemblies of God Position Papers or other statements.

 

Article VI. Nonmodification of Constitution

 This Constitution cannot be amended except to:

 

1.      Correct grammar, spelling and typographical errors;

2.      To amend or confirm the Assemblies of God cooperative fellowship amendments initiated by the General Council of the Assemblies of God; and

Add additional Beliefs and Positions on Issues.

BY-LAWS OF CHESTNUT ASSEMBLY

OF GOD CHURCH

Preamble

 Recognizing that God has called His people to meet, worship, and serve together in structured ways which the New Testament refers to as churches and that it is God's desire that all things be done decently and in order (1 Corinthians 14:40), we, the Members of Chestnut Assembly of God Church, have set forth the following Bylaws as a basis for that structure and order.

Our paradigm for function is like that of a family. While we recognize that Bylaws are necessary for proper order, we also affirm that the attitudes of love, honor, and respect are the true foundation for any healthy group of people who seek to fulfill God's purposes.

 

Article I. Name And Principal Office

 The name of this assembly shall be Chestnut Assembly of God Church (hereinafter the “assembly”, "Church" or "CAG").

 

The Church's principal office shall be located at 2554 E. Chestnut Ave., Vineland, NJ 08361, subject to revision by an official act of the Church's Board of Deacons at any regularly scheduled or special meeting, or by unanimous consent without a meeting. Notwithstanding, the principal office shall remain within the State of New Jersey. The Church shall maintain a registered office and registered agent in the State of New Jersey. The location of the registered office may be, but need not be, identical to the Church's principal office.

 

Article II. Prerogatives And Purposes

 The Church is organized and shall be operated exclusively for religious, charitable and educational purposes within the meaning of Section 50l(c)(3) of the Internal Revenue Code of 1986, as amended. More specifically, the purposes of this corporation are:

 

Section 1. To Govern

 This assembly shall have the right to govern itself and to conduct its own affairs according to the standard of the New Testament Scriptures and of the New Jersey District Council of the Assemblies of God, also known as New Jersey Ministry Network (“NJMN” and the “Network”) and of the General Council of the Assemblies of God located in Springfield, Missouri ("General Council"). This right shall specifically include such matters as the calling of a Lead Pastor, the election of the Board of Deacons, the discipline of its members, and the conducting of its own services and Church programs.

Section 2. To Acquire and Dispose

 In connection therewith, or incidental thereto, this assembly shall have the right to purchase or acquire by gift, bequest or otherwise, either directly or as trustee, and to own, hold in trust, use, sell, convey, mortgage, lease, or otherwise dispose of any real estate or chattels as may be necessary for the furtherance of its purposes, and to exercise all other powers conferred upon it by its charter or by the applicable nonprofit corporation law of this state; all in accordance with its Bylaws as the same may be hereafter amended.

 

Section 3. To Worship, Fellowship, and Propagate

 The purpose of this assembly shall be to establish and maintain a place for the worship of Almighty God, our Heavenly Father, to provide for Christian fellowship for those of like precious faith, where the Holy Spirit may be honored according to our distinctive testimony, and to assume our share of responsibility and the privilege of propagating the gospel of Jesus Christ by all available means, both at home and in foreign lands.

 

Section 4. To Cooperate

 This assembly shall seek to cooperate with the NJMN and with the General Council to extend the work and kingdom of God throughout the world. It may support the missionary program as agreed upon. It shall participate in NJMN and General Council sessions through its chosen delegates and share in the support of the ministries of these bodies.

 

Section 5. To Recognize

 This assembly shall recognize that the NJMN and the General Council have the authority to approve scriptural doctrine and conduct; also, to disapprove differing doctrine and conduct and to withdraw their certificates-of membership if deemed necessary.

Article III. Affiliation

 While maintaining its inherent rights to sovereignty in the conduct of its own affairs as herein set forth, this assembly shall voluntarily enter into full cooperative fellowship with assemblies of like precious faith, associated in the NJMN, and the General Council; and shall share in the privileges and assume the responsibilities enjoined by that affiliation. Officers of the NJMN and General Council shall be recognized and respected by the pastor and members of this assembly.

 

As a member of the General Council, this assembly has the right to request the assistance of both the General Council and the NJMN in dealing with any of its problems, upon the request of the pastor, a majority of the Church Board, or a petition signed by at least thirty percent (30%) of the active voting members of the assembly. Only those members who have regularly attended services of, and supported, this assembly for a period of at least three consecutive months prior to signing the petition shall be counted.

It is understood and agreed that this assembly shall conform its standards of membership, qualifications for board members, and requirements for a pastor to those standards set by the NJMN and the General Council.

 

By its affiliation, the assembly board members, officers, and members agree that no provision of these Bylaws shall be inconsistent with the Constitution and Bylaws of both the NJMN and the General Council as now in effect or hereafter amended.

 Article IV. Tenets of Faith

 

This assembly believes the Holy Bible is the inherent, infallible Word of God and is our all-sufficient rule for faith and practice. This assembly adheres to the 16 Tenets of Faith of the Assemblies of God cooperative fellowship as set forth in our Constitution. This assembly agrees with and adheres to the Assemblies of God positions on issues as set forth at AG.org/Beliefs/Position-Papers.  This clause cannot be deleted or amended.

 

Article V. Ordinances/Ceremonies

 

Section 1. Baptism in Water

 The ordinance of baptism by immersion in water (Matthew 28:19) shall be administered to all who have believed on the Lord Jesus Christ to the saving of their souls, and who give clear evidence of their salvation (Romans 6:3-5; Colossians 2:12). Baptism by affusion shall be permitted under unusual circumstances.  For example, where a person's medical condition disallows their submersion into a body of water, such as a terminally ill patient confined to a hospital facility who wishes to be baptized following their conversion.

 

Section 2. Holy Communion

 The ordinance of the Lord's Supper shall be observed regularly as enjoined in the Scriptures (Luke 22:19, 20; 1 Corinthians 11:23-26).

 

Section 3. The Dedication of Children to Our Lord

 The children, not having the capacity to understand, are dedicated to the Lord, to pray for the blessing of God over them, just as Jesus Christ was dedicated (Luke 2:21-22).                  See Baby Dedication (Blessing) Guidelines and Conditions Policy @ www.Chestnutassemblyofgod.org

Section 4. Marriage Ceremony

Marriage is a ceremony of the assembly instituted by God in Genesis 2:20-24. God Himself instituted marriage by creating it and bringing the first man and woman together at the dawn of human creation. Marriage is an exclusive conventional union of one man and one woman into a lifelong relationship, which the Scriptures call “one flesh”. (Eph. 5:31, Matthew 19:5). Marriage between biological man and a biological woman is the only legitimate and accepted sexual relationship in the Scriptures.  This assembly shall only have marriages between believers that are a biological man and a biological woman. 

Article VI. Membership

 

Section 1. Membership Eligibility

 Active voting membership in this assembly shall be open to all those who possess the following qualifications:

 

a.    A testimony to an experience of the "new birth."

 

b.   Baptized in water by immersion or willingness to do so.

 

c.    Agreement to attend, participate, and complete Growth Track, Freedom, Deliverance and Connect/Serve groups.

 

d.   Evidence of a consistent Christian life (Romans 6:4; 8:1-4; 13:13, 14; Ephesians 4:17-32; 5:1, 2, 15: 1 John 1:6, 7).

 

e.    Willingness to contribute regularly to the financial support of the Church of which membership is sought.

 

f.     Acceptance of the Tenets of Faith and of the Church's positions as outlined in the Constitution and at AG.org/beliefs.

 

g.   At least 18 years of age.

 

h.   Attended services of, and supported, this assembly for a period of at least three consecutive months prior to the date of application for membership.

 

i.     Agreement to being governed by the Constitution and Bylaws of this assembly.

 

Section 2. Procedure for Membership Recognition

 Those individuals eligible for membership who desire to become members of this Church shall attend and complete Growth Track, or a subsequent program, and be approved by the Lead Pastor and Connection Pastor or Church Board. Those approved for membership shall be received into the Church publicly at any of its regular services, and their names added to the church membership roll. No applicant for membership shall be accepted as a member within thirty (30) days immediately preceding an annual business meeting, or within ten (10) days before a special business meeting.

 

 Section 3. Lead Pastor and Spouse

 By virtue of the office, the Lead Pastor shall be considered an active voting member of the Church during the tenure. The Lead Pastor's spouse shall become an active voting member simultaneously with the Lead Pastor, subject to Article VI, Section 1 of the Bylaws.  The Lead Pastor’s spouse membership will end when the Lead Pastor’s membership ends unless due to the Lead Pastor’s death. 

Section 4. Transfer Members

 A member in good standing of another Assemblies of God church, who satisfies the standards for membership (other than the attendance and support requirements), may apply for membership by submitting a letter of transfer from the pastor of the other assembly, upon the approval of a majority of the Church Board.

Section 5. Junior Members

 Junior membership shall be available for young people under 18 years of age who give evidence of the new birth, meet the scriptural standards for membership as specified in these Bylaws, and are approved by the Lead Pastor and Connection Pastor or majority vote of the Church Board. Junior members do not vote at business meetings. 

Section 6. Associate Members

The Church Board, at any regular or special meeting, may approve associate members by a majority vote. Eligibility for associate membership is available to any person who is a member in good standing of an Assemblies of God church in another community, who is in this community on a temporary basis, and who intends to return to the home assembly. Associate members shall be entitled to all the privileges of regular members, except that they shall not be eligible to vote and shall not be eligible for any of the offices in these Bylaws.

Section 7. Honorary Members

The Church Board, at any regular or special meeting, may approve honorary members by a unanimous vote of the members present. Honorary membership is available to any member who

has left the assembly indefinitely. Honorary membership recognition shall continue as long as the member maintains a consistent Christian life, remains sound in doctrine, and maintains a cooperative attitude toward the home assembly.

 

Section 8. Termination of Membership

 Active voting members who shall without good cause absent themselves from the services of the assembly for a period of three (3) consecutive months or more, or who cease to contribute of their means to its support for a period of three (3) consecutive months, may be declared inactive members by action of the Board of Deacons, and their name may be removed from the membership roster.

 

 

Section 9. Discipline

 a.                   Grounds - Discipline is an exercise of scriptural authority for which the Church is responsible (Matthew 16:19; 18:15-20; Luke 17:3; John 20:23; Acts 16:4; Ephesians 5:11; 1 Timothy 5:20; 2 Timothy 4:2; Hebrews 13:17). The purpose of discipline is restorative in nature, and is used to promote repentance and restoration through exposing sinful behavior. It is to be redemptive in nature as well as corrective. Any member of the assembly is subject to discipline on the basis of unscriptural conduct, doctrinal departure from the Tenets of Faith of this assembly, or willful violation of the Church's Constitution and Bylaws. CAG Members undergoing a period of church discipline shall not qualify to vote in any election, nor be qualified to sign any official petition during the period of their discipline. The discipline of General Council licensed Pastors is administered by the NJMN Presbytery. Pastors, Elders, or lay ministers credentialed by CAG (in-house) shall be subject to the Church's disciplinary procedures.

 

b.                  Procedure - The assembly will follow the disciplinary procedure set forth in Matthew 18:15-20. This procedure consists generally of the following steps: (1) The Lead Pastor or a designated member of the Board of Deacons or Elders discusses the charges with the member in an effort to resolve the matter privately; (2) if the first step does not resolve the matter, then the member shall meet with the Lead Pastor, Board of Deacons and Elders or with a designated committee of the Board of Deacons or Elders in an effort to resolve the matter privately; (3) if the first or second steps do not resolve the matter, then the matter may be submitted to the Board of Deacons or Elders for resolution at any regularly scheduled Board of Deacons meeting, or in a special Board of Deacons or Elders meeting called for that purpose. The decision of a majority of the members of the Board of Deacons or Elders present at such a meeting shall be final and the member found guilty may then be dismissed from membership in the Church (Matthew 18:17). However, lesser disciplinary sanctions may be imposed as appropriate, depending on the circumstances of each case.

 

c.                   Resignations - Members who are under discipline by this assembly forfeit and waive the right to resign from membership in this assembly. Resignations from membership are possible only by those members in good standing who are not under any disciplinary action.

Article VII.  Government

 

Section 1. The Board of Deacons

In General - This Church shall be led by the Board of Deacons, also known as the "Official Board", "Church Board", or simply "the Board".

 

a.                   Composition - The Official Board shall consist of a minimum of six (6) and a maximum of ten (10) members, including the Executive Pastor, but not including the President/Lead Pastor. The Church administrator will attend Board Meetings in an advisory capacity with no voting capability.

 

b.                  Qualifications - The Official Board members shall be persons of mature Christian experience and knowledge, who meet the requirements as set forth in Acts 6 and 1 Timothy 3. They shall be at least twenty-one (21) years old, and with the exception of the Lead Pastor, have been voting members of this Church for at least one (1) full year immediately preceding their consideration as a Board member. Official Board Members are expected to adhere to biblical standards of leadership, be consistent, and tithe to the local Church.  See the Constitution, Article III, Scripture Qualifications for Church Board of Deacons and Elders.

 

c.                   Nominations – Board of Deacons may be nominated by the Lead Pastor, a Nomination Committee, and Church members. Any Church member may submit in writing proposed nominees to the Lead Pastor by 30 days prior to the Annual Business Meeting.

 

1.                  The Lead Pastor and the Nomination Committee will interview and evaluate the nominees.  Those nominees approved by the Nomination Committee shall be submitted to the Board for ratification. Once ratified by the vote of a majority of the Board, the Church membership shall be advised of the approved nominees at least 2weeks immediately prior to any Church business meeting where the nominees shall be voted upon and ratified by a three-fourths majority vote.

 2.                  Church members shall be charged with prayerful consideration of said nominees according to the requirements set forth in the Bible and our Constitution and Bylaws.

 

3.                  A majority vote of the active voting members present at a meeting called to include this purpose shall be required to constitute an election of the nominees to the office of Deacon. Their term of office shall be for three (3) years from the date of their election.  They may be re-elected for one (1) consecutive term of three (3) years.  They are required to take one (1) year off before being eligible to be nominated for a board position again.

 

d.                  Duties of the Board of Deacons

 

1.                  Management The business affairs of this corporation shall be managed by its Board of Deacons.

 

2.                  Business – The Official Board shall be authorized to transact business for this Church between annual membership meetings, except in those matters which require approval by the voting membership as determined by NJ State Non-Profit Law under Title 15a, and the Church's Constitution and Bylaws.

 

3.                  Legal and Financial Matters – The Official Board shall be specifically responsible for overseeing the business activities of this corporation, including but not limited to, entering into contracts, owning, holding in trust, using, selling, conveying, mortgaging, leasing, or otherwise acquiring or disposing of such property (real and chattel) as may be needed for the prosecution of its work and consistent with Article XII Property of these Bylaws. They shall serve as trustees of the corporation and be responsible for maintenance of Church buildings and equipment.

 

4.                  Advisory Capacity – The Official Board shall act in an advisory capacity to the Lead Pastor in all matters pertaining to the Church in its spiritual and operational life. They may assist the Lead Pastor in ministry as needed, or requested, and as their own gifts and abilities allow. They may set policies and determine purposes, and values.

 

5.                  Board Member Conflict of Interest – Board members shall not be members of the paid Pastoral staff other than the Lead Pastor, Executive Pastor and Administrator. Credentialed Assemblies of God ministers who are also members of the Church and not paid staff may be on the Board. A Board member's term of service shall not overlap that of an immediate family member serving on the Board or Church staff. Whenever a director or officer has a financial or personal interest in any matter coming before the Board of Deacons, the affected person shall (a) fully disclose the nature of the interest and (b) not lobby or vote on the matter. The Board member who is recused may be a part of any count establishing quorum for the purpose of conducting business or voting on a matter involving a conflict. Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors determine that it is in the best interest of the corporation to do so. The minutes of meetings at which such votes are taken shall record such disclosure, abstention, and the rationale for approval.

 

6.                  Applications – The Official Board may consider applications for Church membership and make decisions with respect to receiving applicants into Church membership.

 

7.                  Teams, Subcommittees, Committees – The Official Board is authorized to appoint teams, subcommittees or committees as it deems necessary for accomplishing the mission of the Church. All teams, subcommittees or committees so appointed shall be amenable to, and work under the supervision of the Official Board and the Lead Pastor.

 

8.                  Manuals – To facilitate the ministry and mission of the Church, the Official Board may establish such organizational, operational, or policy manuals as may be necessary, and may amend or edit such manuals freely, at their discretion.

 

e.                   Vacancy – In the event a vacancy occurs on the Official Board, the Board is empowered to appoint a successor approved by the Lead Pastor by a majority vote to fill the unexpired term of the departing Board member, pursuant to Article VIII, Section 2, paragraph (d).

 

f.                    Removal – Pursuant to NJS, 15A § 6-16 (a), with the exception of the Lead Pastor, any member of the Official Board may have the authority to act as an officer suspended by a majority vote of the Church Board for cause at any duly called meeting of the Official Board, or by unanimous written consent of the Board, absent the vote of the member being suspended. Any member of the Official Board may be removed from office, with or without cause, by a majority vote of the active voting members present at a meeting called   for this purpose. Any Board member so removed shall have no right to appeal. An interim Board member may be appointed to fill the removed Board member's unexpired term by a simple majority vote of the Board at any duly called Board meeting, pursuant to Article VIII, Section 2, paragraph (d), and NJS 15A § 6-16(c), or its successors.

Section 2. Officers

a.                   In General – There shall be a president, executive pastor, secretary, and treasurer. The Lead Pastor, by virtue of his/her office, shall be the president and chairman of the Board of Deacons. The office of secretary and treasurer may be held simultaneously by the same Board member.

b.                  Qualifications:

 

1.                  Lead Pastor/President – The Lead Pastor shall be in good standing with both the General Council and the NJMN, holding a current Assemblies of God ministerial credential.

 

2.                  Executive Pastor – The Executive Pastor shall be an active voting member of this assembly for at least three (3) years immediately preceding election to office, a member of the Church Board, currently support the Church with tithes and offerings, have a cooperative spirit and be faithful in attendance at Church services.

 

3.                  Secretary – The secretary shall be an active voting member of the Church for at least one (1) year immediately preceding election to office, be a member of the Church Board, currently support the Church with tithes and offerings, have a cooperative spirit, and be faithful in attendance at Church services.

 

4.          Treasurer –The treasurer shall be an active voting member of this Church for at least one (1) year immediately preceding election to office, a member of the Church Board, currently support the Church with tithes and offerings, have a cooperative spirit, and be faithful in attendance at Church services.

 

c.                   Duties of Officers:

 

1.         Lead Pastor/President:

 

a.             Shall be the spiritual overseer of the Church and direct its activities.

 

b.            Shall be recognized as a member of the Church Board, president of the Church, and shall act as chairperson of all the business meetings of the Church and of the Church Board.

 

c.             Shall provide for all services of the assembly and specifically arrange for all special meetings, conventions, and revival campaigns. No person shall be invited to speak or preach in the assembly without the Lead Pastor’s approval.

 

d.            Shall, as chairperson of the Church Board, privately interview those nominated, ascertaining their eligibility and availability to serve as members of the Board of Deacons.

e.             Shall be an ex officio member of all Church Boards and committees.

 

f.              Shall select the ministerial staff.

 

g.            Shall be chairperson of the nominating committee for the selection of deacons.  The Lead Pastor shall interview those nominated, ascertaining their eligibility and availability to serve as deacons and board members.

 

h.            Conduct or arrange for a training class on the responsibilities of the Church Board, deacons, board members, officers, and other Church leaders.  Such a course shall be based upon the scriptural directives for Church leadership and the Church Constitution and Bylaws.

 

2.                  Executive Pastor:

 

a.             Shall be a spiritual leader of the assembly and direct its business activities in the absence of the Lead Pastor/President.

 

b.            Shall be recognized as a member of the Church Board, executive pastor of the assembly, and act as vice chairperson of all business meetings of the assembly and of the Church Board.

 

c.             Shall, in the absence of the Lead Pastor/President or in the event of no Lead Pastor, provide for all services of the assembly and shall arrange for all special meetings, conventions, and revival campaigns with the assistance of the NJMN and pastoral staff.

 

d.            Shall assist the Lead Pastor/President in any way requested and shall endeavor to support the Lead Pastor.

 

3.                  Secretary:

 

a.             Shall keep the minutes of the official meetings of the Church Board and of the annual and special business meetings of the assembly.

 

b.            Shall keep a record of the membership of the Church and perform any other clerical work necessary to the proper discharge of all duties.

 

c.             Shall be the custodian of all legal documents.

 

 

d.            Shall provide the information to the Church attorney to file such annual corporation reports with the secretary of state as may be required by state law.

 

e.             Sign legal documentation.

 

4.                  Treasurer:

 

a.          Shall be entrusted with all the finances of the assembly, subject to the supervision of the Lead Pastor and Church Board, and shall make sure that all monies received are deposited in federally insured accounts or Assemblies of God financial institution in the name of the assembly.

 

b.         Shall keep an itemized account of receipts and disbursements, shall present a report for each regular meeting of the Church Board, and shall present an annual report to the assembly in its annual business meeting.

 

c.          Shall assist the assembly in acquiring and maintaining available tax exemptions under state and local law.

 

d.         Shall work with Church staff toprovidearecordofallidentifiedgivingtoeachdonoratleastannually.

 

e.          Shall be the custodian of all the financial records of the Church.

 

5.                   Elders:

 

                          i.            Shall serve in an advisory capacity, with the Lead Pastor as the Chief Elder in all matters pertaining to the Assembly in its spiritual life.

 

                      ii.            Shall be willing and able to help in leading a worship service, teaching, praying for the sick, visitation, disciplining others, leading small groups and disciplining those who need it in the Body.

 

                          iii.            Shall, along with the Lead Pastor/Chief Elder have the ultimate authority and responsibility for all Church spiritual affairs.

 

                          iv.            Shall be appointed by the Lead Pastor/Chief Elder for an indefinite period of time.

Section 3. Fiduciary Duties

 Scriptures and the law imposes several fiduciary duties on officers, directors, deacons, and elders, including the duties of due care and diligence, loyalty, avoidance of self-dealing, expending designated contributions for the purposes specified, and not commingling personal and corporate funds.

 

Section 4. Temporary Church Board

Should differences arise between the Lead Pastor and other members of the Church Board destroying the unity and the successful ministry of the local assembly, the NJMN Executive Presbytery along with the sectional presbyter (the "investigating committee"), upon receiving a written request from either the Lead Pastor, or a two thirds majority of the Church Board, shall be requested to investigate and resolve such differences. The investigating committee shall be empowered to make suggestions to the Lead Pastor and the Board of Deacons which they shall take into serious consideration in order to resolve their differences.

 

If, however, after receiving there commendation of the investigative committee and implementing the same the board of deacons and the Lead Pastor still cannot come to a resolution of their differences, upon either the further written request of the Lead Pastor, or a written request from the Board Secretary arising from a two-thirds majority vote of the Official Board, the NJMN may, after securing an affirmative vote of two-thirds of the active membership voting in a special business meeting called for this distinct purpose, be empowered to declare the Church under "total Network Supervision."

 The term "Network Supervision", which shall be publicly defined to the voting membership by the Executive Presbytery at the meeting calling for a vote on the approval of "total Network supervision", shall mean that the Network, through their investigating or Sectional committee, shall have the authority to:

 

(1)   suspend the Bylaws of the Church;

(2)   suspend the Church Board;

(3)   reclassify the Church as a NJMN affiliated church; and

(4)   appoint and establish a temporary Church Board invested with the authority to manage both the secular and ecclesiastical affairs of the Church until such strife shall cease.

 

These points shall be expressly communicated to the voting membership before a vote is taken authorizing "total Network Supervision".

 

If the Lead Pastor is also the sectional presbyter, then the Assistant Sectional Presbyter shall be a member of the investigating committee in his place.

Article VIII.  Elections, Vacancies, And Removals

 

Section 1. Elections

 

a.                   Lead Pastor:

 

1.                  The Lead Pastor shall be nominated by a Pulpit Committee of four (4) members from the Church Board (2) and elders (2).  The assistance of the NJMN superintendent may be utilized. Recommendations may be made to the Pulpit Committee by any member of the assembly and the NJMN.

 

2.                  The Lead Pastor shall be elected to serve for one (1) or more years, or for an indefinite period of time, as may be determined at the time of election.

 

3.                  Election shall be by secret ballot at the annual business meeting of the assembly or at a special business meeting called for that purpose. Only one candidate shall be considered at a time.

 

4.                  A two-thirds majority vote of all votes cast shall be required to constitute an election, or to constitute a vote of confidence to perpetuate the ministry to the Church.

 

5.                  In the event either the Lead Pastor or any other member or members of the Church shall challenge the validity of an election, the validity of the election shall be arbitrated by the District Executive Presbytery, or any three persons of its choice, and its decision shall be final.

 

b.                  Secretary - The secretary shall be selected by the Lead Pastor and approved by a majority vote of the Church Board from among its members. The term of office shall be two (2) years, and the secretary may serve up to a total of three (3) consecutive terms.  They are required to take one (1) year off before being eligible to be nominated for a board office position again.

 

c.                   Treasurer - The treasurer shall be selected by the Lead Pastor and approved by a majority vote of the Church Board from among its members.  The term of office shall be two (2) years, and the treasurer may serve up to a total of three (3) consecutive terms. They are required to take one (1) year off before being eligible to be nominated for a board office position again.

Section 2. Vacancies and Removals

 

a.                   Lead Pastor – When there is a vacancy in the office of the Lead Pastor, a temporary replacement shall be arranged for by the Church Board until a Lead Pastor shall be chosen as prescribed in Article VIII, section 1A. The assistance of the NJMN Superintendent may be sought. When a Lead Pastor's credentials are withdrawn by the General Council, the Lead Pastor's term of office shall automatically end and the spouse’s membership shall end.

 

b.                  Deacon – The office of deacon shall be vacant upon the resignation from office, or upon the termination of a deacon's active membership, whichever shall occur first.

c.                   Termination – Any office or position of leadership in the Church (other than that of the Lead Pastor) may, but need not be, terminated by a majority vote of the Board or active members present and voting at the Church's annual business meeting, or at a special business meeting called for the limited purpose of removing such member from the office or position of leadership held in the Church. Because of the unique responsibility before God as the local shepherd of the flock (assembly), for which must be  given account to God (Heb.13: 17), the Lead Pastor shall have the right to summarily remove any person from any position of active ministry, or ministry leadership in the Church, in the Lead Pastor’s sole discretion.

 

d.                  Filling Vacancies – Any office or position of leadership in the Church (other than that of Lead Pastor) may be filled by appointment of the Church Board through a simple majority vote of the same at any duly called meeting of the Board, with the Lead Pastor's approval.

 

Section 3. Pastoral Removal and Conflict Resolution

 

a.                   If a charge or issue, which shall be defined as either moral failure, a serious violation of the Lead Pastor's fiduciary corporate responsibilities, or a departure from the Church's doctrinal positions, is brought against the Lead Pastor, the Board will investigate to determine the validity of the charge or issue. If found to be invalid, the charge or issue shall be dismissed, and no further action shall be taken by either the Board of Deacons or by the Church.

 

b.                  If, however, the charge or issue is determined by the Board of Deacons to be valid, a Board Meeting which shall include the Lead Pastor along with all other pertinent parties must be scheduled between two (2) and four (4) weeks of the Board's determination of the validity of the matter in order to grant the Lead Pastor sufficient time to prepare his defense. In the interim time period, the Board shall have the right by two-thirds vote to suspend the Lead Pastor and restrain him from going on the Church premises.  The goal of the meeting shall be to objectively determine if the charge(s) or issue(s) can be resolved without NJMN intervention. This meeting must be chaired by the Executive Pastor. The Lead Pastor shall be allowed to present defense witnesses and physical evidence.  

 

c.                   If no resolution is come to in the meeting called under Article VIII, Section 3, paragraph 2 above, a Board resolution shall be introduced and voted upon during said meeting requiring a majority vote of the Board of Deacons, excluding the Lead Pastor, for the purpose of soliciting the NJMN's assistance in resolving the matter or issue. Should the resolution pass, the Board Secretary shall be tasked with contacting the then serving NJMN Sectional Presbyter ("Presbyter") for the applicable Section within one (1) week of the meeting, requesting NJMN intervention. Should the Lead Pastor hold the position of NJMN Sectional Presbyter at the time, then the Assistant Presbyter for the section shall be contacted. The Secretary shall make sure to provide all pertinent facts, evidence, and Board meeting minutes addressing the matter or issue to the Presbyter for the consideration and review prior to scheduling an official meeting between the Presbyter, including any other NJMN designee chosen by the Executive Presbytery, and the Board of Deacons to officially discuss the matter.

d.                  Once the Board meets with the NJMN representatives, if no resolution is found, under the direction of the NJMN, a special meeting of the voting membership of the Church may be called with proper notice, as outlined in the Church's Bylaws, at the discretion and direction of the NJMN Executive Presbytery through their designated representative, the goal of the meeting being to find a resolution to the matter. A vote shall be taken to approve any resolution proposed during the meeting which shall require a two-thirds majority vote of the active voting members present at the meeting.

 

e.                   However, if no resolution is achieved during the meeting outlined in Article VIII, Section 3, paragraph 4 above, a vote of confidence may then be taken under the direction and supervision of the NJMN through their designated representative. The Lead Pastor must receive a two-thirds majority vote of the active voting members present at the meeting to continue his ministry at the Church.

Article IX.  Meetings

Section 1. Meetings for Worship

 Meetings for public worship shall be held on each Lord's Day and during the week as may be provided for under direction of the Lead Pastor or the Church Board if there is no Lead Pastor.

 

Section 2. Annual Business Meeting

 There shall be an annual business meeting of the assembly, at which time the report of all officers shall be presented. This meeting may be held in March each year, if possible, but if not, as soon thereafter as possible, subject to revision by the Official Board as needed. The time and place shall be announced to the Church, with the Lead Pastor's approval. Notice of the date, time, and place of each annual business meeting shall be announced from the pulpit during morning worship services on each of the two Sundays immediately preceding the date of the meeting and notices of the meeting shall be prominently displayed by or on the entrance to the sanctuary for two weeks immediately preceding the annual meeting.

 

Section 3. Special Business Meetings

 

a.                   Special business meetings of the assembly may be called by the Lead Pastor, or by a majority of the Church Board, or by a petition signed by not less than fifty percent (50%) of the active voting members of the assembly. Only those members who have regularly attended services of, and supported, this assembly for a period of at least three (3) consecutive months prior to signing the petition shall be counted.

 

b.                  Petitions pertaining to the business affairs of the Church shall be submitted to the Lead Pastor or the secretary of the Church Board.

 

c.                   Subject to the procedure outlined in Article VIII, Section 3 supra, a petition pertaining to the status or actions of the Lead Pastor shall be directed to the Church Board who will then determine if and when the petition should be forwarded the NJMN Superintendent, who shall only then be empowered to arrange for a special business meeting of the assembly through the Church's Board.

 

d.                  No more than one petition on a given subject shall be recognized in any 12-month period. Notice of the date, time, place, and purpose of each special business meeting shall be announced from the pulpit during morning worship services on each of the two Sundays immediately preceding the date of the meeting.

 

e.                   No business other than that specified in the notice of meeting shall be transacted at any special meeting of the assembly.

 

Section 4. Parliamentary Order

 All business meetings of the Church shall be governed by parliamentary procedure as set forth in the current edition of Robert's Rules of Order Revised, in keeping with the spirit of Christian love and fellowship.

 

Section 5. Voting Constituency

 

a.                   Qualifying of Voters – The voting constituency at all business meetings of the assembly shall consist of all active voting members who are present and who are 18 years of age or older, subject to Article VI, Section 1 of the Church's Bylaws. Absentee ballots are not permitted.

 

b.                  Members Undergoing Restoration – No member currently undergoing a process of restoration (Church discipline) shall be entitled to a vote in any election until the process is completed.

 

Section 6. Quorum

 A quorum shall consist of one-third of the active voting members present at any duly called business meeting.

Section 7. Virtual Meetings

 This assembly may conduct virtual meetings, including but not limited to, the annual business meetings, board meetings, and special business meetings, by remote access via video conferencing, web conferencing, and online meeting. The assembly shall use its best efforts to implement virtual meetings with full regard for the need to maintain accessibility for all members, including those who lack access to the requisite technologic tools. Any action that could be taken at an in-person meeting, including Bylaws amendments, may also be taken at a virtual meeting held pursuant to this clause. Votes can be taken as follows:

 

a.                   Virtual meeting chat feature. The message should be directed to the host. The member should type their first and last name and their vote.

b.                   Email the assembly. The member should include their name and their vote to an authorized officer.

c.                   Call the assembly and provide their name and their vote to an authorized officer.

d.                  Voice Vote.

 

The procedures outlined in Robert’s Rules of Order for virtual meetings shall be adhered to.

 

Section 8. Order of Business

 The regular order of business for the annual business meeting of this assembly shall be as follows:

 

a.                   Prayer, Worship and Devotional

b.                  Reading of previous minutes

c.                   Report of Lead Pastor/President

d.                  Report of Treasurer

e.                   Report of committees

f.                    Unfinished business

g.                  Election of Board Members

h.                  New business

i.                    Adjournment

 

Section 9. The Church Board

 The Church Board shall meet monthly or at the call of the Lead Pastor for the transaction of business for the assembly, time and place to be announced by the Lead Pastor. A majority of the board members present shall constitute a quorum.

 

Section 10. Membership Roll

 The Church Board shall review the list of active voting members at least annually, at the regularly scheduled meeting of the board immediately preceding the annual business meeting and compile a current list of active voting members.

Article X.  Departments

Section 1. In General

 This assembly shall create and maintain such departments and sub organizations as may be necessary and advisable for the extension of its work. All such departments and organizations shall be subordinate to the assembly and shall contribute to the harmony and development of the whole. They shall be under the general supervision of the Lead Pastor and Church Board, and the Lead Pastor shall be an ex officio member of all committees, departments and suborganizations.

 

 

Section 2. Organization

 There shall be a director for each department which shall be appointed by the Lead Pastor in consultation with the Church Board.

Article XI.  Finance

Section 1. In General

 All funds for the maintenance of the assembly shall be provided by the voluntary contributions, tithes, and offerings of the members and friends of the organization. Offerings shall be accepted by the assembly at such times and in such ways as agreed upon by the Church Board and shall be administered by the treasurer under their direction (Mal. 3:10; Luke 6:38; 1 Cor. 16:1, 2; 2 Cor. 9:6-8). The Lead Pastor has the sole discretion to authorize the collection of offerings for any legitimate charitable purpose as seen fit without requiring Board approval, such as an offering for a special speaker or missionary.

 

Section 2. Handling of Offerings

 All offerings shall be counted by at least two authorized persons before the funds are removed from the Church building. An offering receipts form shall be signed in duplicate by those counting the offering, with one copy going to the treasurer and the other to the Lead Pastor and/or Executive Pastor. A record shall be kept of all receipts and disbursements of the local assembly and of all individual giving. All funds shall be deposited in federally insured accounts or an Assemblies of God financial institution.

 

Section 3.  Lead Pastor Remuneration

 

a.                   Regular Remuneration - The Lead Pastor shall be remunerated by a salary or by other means agreed upon by the Church Board and Lead Pastor. The Church Board shall review the Lead Pastor's remuneration at least annually.

 

b.                  Reimbursement for Expenses - The Lead Pastor shall be reimbursed by the Church for all budgeted work-related expenses, including expenses incurred by his attendance at District Councils, General Councils, and other District functions. Such reimbursements shall be made as soon as possible after the expense is incurred.

 

c.                   Severance Pay - In the event a Lead Pastor is removed from office by a vote of the active voting membership of the Church, or shall fail to be sustained by a vote of the active voting membership at the end of a term, the Lead Pastor shall be given a minimum of 1 month regular or average remuneration as severance pay to be determined by a three fourths votes of current and active board members, except in the case of moral turpitude.  If the Lead Pastor resides in a Church-owned parsonage the right to reside there will terminate sixty (60) days after the last day of employment, except in the scenario of moral turpitude or withdraw of credentials, when the right to reside in the parsonage ends at thirty (30) days.

 

d.                  Retirement Pay - At the time of the Lead Pastor's retirement in good standing, the Board of Deacons will gift the Lead Pastor a minimum $1,000.00 per year of active service as a retirement severance package. Other benefits/gifts may be given to the retired Lead Pastor as voted on and approved by the majority of the Board of Deacons.

 

Section 4. Authorized Expenditures

 The Lead Pastor shall be authorized to spend up to $2,000 in un-budgeted business expenditures, not to exceed $10,000 in cumulative expenditures within any one fiscal year. Any amounts above this threshold shall require Board approval before the expenditure is undertaken. Ministry leaders needing to expend money for projects on behalf of the Church which are above the approved annual amount budgeted, shall require the Lead Pastor's approval before such expenditure is undertaken. If the ministry leader uses personal funds for such approved expenditures, a receipt will be submitted for reimbursement as soon as practicable after the expense has been incurred.

 

Section 5. Authorized Signatories

 All checks issued on behalf of the Church must be signed by two of the following authorized check signers: the administrator, Executive Pastor, Lead Pastor, board treasurer, or accounts receivable employee. The Lead Pastor's or Executive Pastor's signature shall be required on all checks.

Article XII. Property

Section 1. Title

 All property of the assembly shall be deeded to Chestnut Assembly of God and held in its name. Should the assembly choose to do so, it may request the NJMN to act as its trustee and to hold title, so long as NJMN continues to qualify for tax exemption under section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provisions of any future United States Internal Revenue Law).

 

 

Section 2. Purchases and Sales of Property

 

a.                   Real Property  No real property of this Church shall be purchased, sold, leased, mortgaged (does not apply to refinancing an existing mortgage or extension of lines of credit), or otherwise alienated without same having been authorized by at least a sixty (60%) percent vote of active voting members present at any annual or special meeting called for such purpose.

 

b.                  Personal Property – The Board of Deacons shall have authority for all purchases and sale of personal property on behalf of the Church in amounts up to fifteen (15%) percent of the Church's current annual operational budget within one fiscal year. For situations involving larger transactions, authorization shall be by at least a sixty (60%) percent vote of those active voting members present at any annual or special meeting called for such purpose.

 

c.                   Contracts – The Board of Deacons shall have authority to negotiate and sign all contracts on behalf of this Church as an act of the Board.

 

Section 3.  Use of Property 

The outside rental of facilities, property and/or grounds under the control of CAG for weddings, birthdays or other private celebrations or funerals shall be limited to individuals who are active members, so long as the event conducted thereon does not violate the Scriptural mandates prescribed.

 Section 4.  Discontinuation of Church Services

 Should this assembly cease to maintain a weekly worship service for a period of three (3) months under the direction of a leader duly authorized by and in good standing with the NJMN, it shall be dissolved and its properties disposed of according to Article XII, Section 6, of these Bylaws.

 

Section 5. Disaffiliation

 Title to all real property now owned or hereafter acquired by the assembly shall be held in trust as a place of divine worship in full cooperative fellowship and affiliation with The General Council and the NJMN. In the event that CAG shall be divided over doctrinal or any other issues, or shall vote to disaffiliate from the Assemblies of God, all property of the assembly shall remain with those members, whatever their number, desiring continued affiliation with the Assemblies of God and adhering to its Statement of Fundamental Truths. The determination of which group of members desires continued affiliation with the Assemblies of God and adheres to its Statement of Fundamental Truths shall be arbitrated by the District Presbytery of the NJMN, and its decision shall be final and binding. If all of the members of the assembly shall vote to disaffiliate from the Assemblies of God for doctrinal or any other reasons, then all of the property of such assembly shall be transferred to the NJMN and shall be used by the NJMN for an Assemblies of God church if feasible, and if not feasible, the NJMN may sell the property and apply the proceeds in any manner consistent with its stated purposes.

 

Section 6. Dissolution

 Upon the dissolution of CAG, none of its funds or assets shall be distributed to any officer, deacon, member, employee, or any other individual. The Church Board shall, after paying or making provision for the payment of all of the liabilities of the assembly, dispose of all of the funds and assets of the assembly by conveying the same to the NJMN, or its successors or assigns, for its stated purposes.

Article XIII. Arbitration of Disputes

Scriptures require Christians to make every effort to live at peace with each other and to resolve disputes and lawsuits within the assembly and not in the civil courts. (1 Corinth. 6:1- 8, Matthew 18:15-20 & Eph. 4:1-3) All disputes which arise shall be resolved by conciliation, mediation and arbitration. This includes disputes and lawsuits between any (1) member of this assembly and CAG; (2) member of this assembly and any pastor, employee, member, and volunteer; (3) employee and this assembly; and (4) members of this assembly.

 

All disputes that arise shall first be submitted to biblically based mediation or conciliation. If mediation or conciliation fail, the parties agree to submit to binding arbitration. Either party to the dispute may initiate the arbitration process by sending the other party a written request for arbitration after efforts to mediate or conciliate have failed.

 

Three arbitrators will be used unless both parties agree to one neutral arbitrator. All arbitrators must be members in good standing of an Assemblies of God church. Each party shall name an arbitrator. The arbitrators shall select the third arbitrator.

 

The parties agree to use the Rules of Procedure for Christian Conciliation or another set of biblically based rules designed for Christian arbitration, as agreed upon by the arbitrators. In any arbitration proceeding, one party shall not discuss the matter with any arbitrator in the absence of the other party. Any matter not provided for herein shall be governed by the provisions of the Uniform Arbitration Act.

 

If an arbitration decision may result in an award of monetary damages, then use of this Arbitration Clause is conditioned on acceptance of the procedure by the liability insurer of the party, and the insurer’s agreement to honor any arbitration award up to the applicable policy limits.

 

The arbitration process is not a substitute for the disciplinary process set forth in the Bylaws.

Article XIV. Emergency Powers

Section 1. Definition

 The members of this Church recognize that times of national or local emergency may occur, making it impossible to fulfill all of the requirements of these Bylaws or the Church Articles of Incorporation. Times of national, state, or local emergency may be called by the president of the United States or the governor of New Jersey, or the local, regional, county, or city government due to natural disaster (earthquake, tidal wave, volcano, flood, storm, etc.), pandemic, war, civil unrest, or any seen or unseen emergency of significance. Any emergency powers assumed under this section are temporary in nature and would only be valid while such state of emergency is officially in effect. Once the state of emergency is officially no longer in effect, the Church's Bylaws shall immediately be reinstated as they were prior to the inception of the state of emergency.

 

Section 2. Circumstances

 In the event of any emergency as described in Section 1 above, making it impossible to conduct business or services as usual for this Church, including any board or membership business meetings, the official Board of Deacons, or remaining available members of the Board of Deacons, shall be empowered to act as fiduciaries of this Church to ensure the continuation of services and business in the most feasible, safe, legal, and prudent manner, as good stewards holding to biblical values as outlined in these Bylaws.

 

Section 3. Process Steps

 

1.                  Upon such an emergency declaration, making it impossible to conduct normal business or services as usual, and pursuant to applicable emergency powers or Bylaws of New Jersey regarding emergency Bylaws, the remaining active Board of Deacons shall enact special emergency Bylaws and powers as needed to accommodate such an emergency.

 

2.                  By majority vote of the remaining Board of Deacons, they shall be granted emergency power to draft and enact any emergency bylaw provision pursuant to the aforementioned state laws. These emergency Bylaws may bypass any and all of the current Church Bylaws as needed in order to comply with all federal and state requirements and/or regulations pertaining to meetings or other accompanying standard operating procedure business of the Church such as elections and meetings of any kind.

 

3.                  These emergency Bylaws and powers will empower the Board of Deacons and members of this Church to act in any legal, biblical, reasonable and prudent manner they deem necessary to conduct such business that may conflict with current Church Bylaw provisions or requirements, including, but not limited to normal business operations, providing for congregational services and community care, the suspension of an annual business meeting and/or other regular business until such a time as the current emergency is resolved and emergency measures are lifted.

 

Once the emergency crisis is declared over by a declaration of the government and/or the Church Board of Deacons (after consulting with Church legal counsel if possible), then standard operating procedures for business and compliance with the Church's original Bylaws (before any emergency changes were made to the Bylaws during the state of emergency) and operations will resume.

ARTICLE XV. CONFLICT OF INTEREST POLICY

Section 1.  Purpose

 The purpose of the conflict-of-interest policy is to protect this assembly’s interest when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer, board member, employee, member, congregants, or agent of the Church.  The Church Board will determine if the work in question is a conflict of interest.

Section 2.  Definitions

 

a.      Financial Interest

 

A person has a financial interest if the person has, directly or indirectly, through business, investment, or family:

 

(1)               An ownership or investment interest in any entity with which the assembly has a transaction or arrangement;

 

(2)               A compensation arrangement with the assembly or with any entity or individual with which the assembly has a transaction or arrangement; or

 

(3)               A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the assembly is negotiating a transaction or arrangement. Compensation includes direct and indirect remuneration as well as gifts or favors that are insubstantial.

 

Section 3. Procedures

 

a.       Duty to Disclose

 Potential conflicts of interest must be disclosed. An officer, board member, employee, member, congregant, or agent who believes they might have a real or apparent conflict of interest, in addition to disclosure, must abstain from:

 

(1)               participating in discussions or deliberations with respect to the subject of the conflict (other than to present factual information or to answer questions);

 

(2)               using personal influence to affect deliberations;

 

(3)               making motions;

 

(4)               voting;

 

(5)               executing agreements; or

 

(6)               taking similar actions on behalf of organizations where the conflict of interest might pertain by law, agreement or otherwise.

 

b.      Compensation

Any individual who receives compensation, directly or indirectly, from the assembly for services is precluded from voting on matters pertaining to that individual’s compensation.

 

Article XVI. Amendments

The Bylaws may be amended at any regular or special business meeting of the assembly by a majority vote of the membership present, except as otherwise indicated herein. Articles III and XII, Sections (1), (2), and (3) of these Bylaws may be amended only by the affirmative vote of one hundred percent (100%) of the active voting members present at any annual or special business meeting called for the purpose of amending these Bylaws. The Constitution, Bylaws, Articles IV, XII Sections (4), (5), (6), and Article XVI of these Bylaws is not subject to amendment, except to conform to any amendments made to the Statement of Fundamental Truths of the Assemblies of God. No amendments may be made that are contrary or inconsistent with the Assemblies of God Tenets of Faith, General Council Bylaws or NJMN Bylaws.
